Marketing Partner Agreement

(Trade Exclusive Referral Network Division)

1. AGREEMENT PURPOSE

This Marketing Partner Agreement (“Agreement”) establishes the terms and conditions under which an approved individual or entity (“Marketing Partner”) may represent, promote, and expand the Trade Exclusive Referral Network under Elite Trade Authority governance.

This Agreement defines:

• Compensation structure
• Territory authority
• Performance expectations
• Compliance obligations
• Termination conditions

2. MARKETING PARTNER CLASSIFICATIONS

Marketing Partners may be appointed at one of the following levels:

A. Local Marketer

Territory-based contractor acquisition and onboarding.

B. Regional Marketer

Multi-territory oversight and Local Marketer supervision.

C. Executive Chief Marketer

National strategic oversight and governance authority.

Level assignment is determined by Elite Trade Authority and may not be self-designated.

3. TERRITORY ASSIGNMENT

3.1 Territory Designation
Marketing Partners may be assigned an exclusive or defined territory at the discretion of Elite Trade Authority.

3.2 Non-Compete Within Network
Marketing Partners shall not solicit contractors or marketers outside their assigned territory unless approved in writing.

3.3 Territory Performance
Failure to meet KPI benchmarks may result in territory reassignment.

4. COMPENSATION STRUCTURE

Compensation shall be paid according to the approved commission model in effect at time of payment.

Local Marketer

• $150 flat rate per contractor signup
• 1% commission on contractor network sales generated within territory
• 0.05% override on sales generated by personally recruited Local Marketers

Regional Marketer

• $250 flat rate per contractor signup
• 1% commission on contractor network sales within region
• 0.05% override on marketer-generated sales within region

Executive Chief

• 1% override on all verified network sales

4.1 Payment Conditions
• Commissions are paid only on verified and collected revenue
• Overrides apply only while Marketing Partner remains active and compliant
• Commission structure subject to annual review

5. PERFORMANCE REQUIREMENTS

Marketing Partners agree to maintain minimum KPI benchmarks as defined in the Elite Trade Authority Governance Manual.

Failure to maintain standards may result in:

• Written warning
• Probation
• Demotion
• Termination

6. ETHICAL CONDUCT

Marketing Partners shall:

• Avoid deceptive income claims
• Avoid false exclusivity representations
• Represent membership tiers accurately
• Comply with all applicable state and federal regulations
• Maintain professional conduct

Violation may result in immediate termination.

7. INDEPENDENT CONTRACTOR STATUS

Marketing Partner is an independent contractor.

Nothing in this Agreement shall be construed as:

• Employment relationship
• Partnership
• Joint venture
• Franchise grant

Marketing Partner is responsible for:

• Taxes
• Licensing (if applicable)
• Business compliance

8. TERM & TERMINATION

This Agreement remains active so long as the Marketing Partner:

• Maintains compliance
• Meets performance requirements
• Does not engage in material breach

Elite Trade Authority reserves the right to terminate this Agreement with or without cause upon written notice.

Immediate termination may occur for:

• Fraud
• Revenue manipulation
• Brand damage
• Compliance violation

9. STRUCTURAL INTEGRITY CLAUSE

Elite Trade Authority reserves the right to:

• Modify compensation plans
• Adjust territory structures
• Update governance standards
• Reassign marketing levels

With reasonable written notice.

10. CONFIDENTIALITY

Marketing Partner agrees to maintain confidentiality regarding:

• Commission structures
• Contractor data
• Marketing strategies
• Internal governance documents

This obligation survives termination.

11. DISPUTE RESOLUTION

Any dispute arising under this Agreement shall be resolved through:

Internal review
Mediation (if required)
Binding arbitration in the governing state

12. ACCEPTANCE

By signing below, Marketing Partner acknowledges understanding and acceptance of this Agreement and all governance policies of Elite Trade Authority.
